Win7 Home Premium 64-bit to Win7 Ultimate 32-bit?

I'm currently running Windows 7 Home Premium (64-bit) on my PC and want to upgrade to Windows 7 Ultimate, but the only version of Ultimate I have is 32-bit. I only have the upgrade disc, not the full system disc. Is this doable?
